No. Converting a JPG to PNG will not recover lost quality — the conversion is lossless going forward, but any compression artifacts from the original JPG remain. The benefit is that future saves won't degrade quality further.
JPG does not support transparency. Any transparent areas in a PNG must be filled with a color when converting to JPG. By default, this tool fills transparent areas with white, but you can choose any background color.
